End-User License Agreement (EULA)

1. Agreement to Terms

This End-User License Agreement ("Agreement") is a legal agreement between you ("User" or "you") and Sami & Sons Construction ("Company," "we," or "us") for the use of Sami & Sons OS software application and related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by this Agreement. If you do not agree to these terms, do not use the Service.

2. License Grant

Subject to your compliance with this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes related to construction project management.

3. Restrictions

You agree not to:

• Copy, modify, or distribute the Service or any part thereof
• Reverse engineer, decompile, or disassemble the Service
• Rent, lease, lend, sell, or sublicense the Service
• Use the Service for any unlawful purpose
• Interfere with or disrupt the Service or servers
• Attempt to gain unauthorized access to any part of the Service
• Use the Service to transmit harmful code or malware
• Violate any applicable laws or regulations

4. Third-Party Integrations

The Service may integrate with third-party services such as QuickBooks, Google services, and others. Your use of these integrations is subject to the respective third-party terms of service and privacy policies. We are not responsible for the availability, accuracy, or content of third-party services.

When you connect third-party services (e.g., QuickBooks for accounting), you authorize us to access and synchronize data as necessary to provide the Service features. You may disconnect these integrations at any time.

5. User Data and Content

You retain ownership of all data, content, and information you submit to the Service ("User Content"). By submitting User Content, you grant us a license to use, store, and process it solely for providing and improving the Service.

You are responsible for maintaining the accuracy and legality of your User Content and for obtaining any necessary consents from third parties whose information you submit.

6. Intellectual Property

The Service, including all software, designs, text, graphics, and other content (excluding User Content), is owned by us or our licensors and is protected by intellectual property laws. This Agreement does not grant you any ownership rights in the Service.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Indemnification

You agree to indemnify, defend, and hold harmless the Company and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of your use of the Service, your User Content, or your violation of this Agreement.

10. Termination

We may terminate or suspend your access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service will immediately cease. Provisions that by their nature should survive termination shall survive.

11. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising under this Agreement shall be resolved in the state or federal courts located in California.

12. Changes to This Agreement

We reserve the right to modify this Agreement at any time. We will notify you of material changes by posting the updated Agreement and revising the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the modified Agreement.
