These Terms and Conditions ("Terms") govern your use of the Sami & Sons OS platform, the samiandsons.com website, and any related services (collectively, the "Service") operated by Sami & Sons Construction ("we," "our," or "us"). By accessing or using the Service, or by providing your contact information to us, you agree to be bound by these Terms.

2. Services We Provide

Sami & Sons Construction is a licensed residential general contractor providing construction services, including ADUs, additions, remodels, and related work. The Service includes our internal operations platform and customer/subcontractor portals used to manage estimates, proposals, schedules, invoicing, and project communications.

3. Eligibility

You must be at least 18 years old and legally capable of entering into binding contracts to use the Service or engage us for construction work.

4. Accounts and Access

When you create an account or are invited to a customer or subcontractor portal, you agree to:

• Provide accurate and complete information
• Keep your login credentials confidential
• Notify us immediately of any unauthorized access
• Be responsible for all activity that occurs under your account

5. Sami and Sons SMS Program

Program Name: Sami and Sons SMS.

Program Description: By providing your mobile phone number, you consent to receive SMS messages from Sami & Sons Construction related to your inquiry, project, account, or job-site operations. These messages are transactional and operational in nature and may include appointment reminders, schedule updates, project status, invoice reminders, and responses to your inquiries.

• Consent to receive SMS is not a condition of purchasing any goods or services.

6. Estimates, Proposals, and Contracts

Any estimates or proposals provided through the Service are preliminary and are not binding until a written construction contract is signed by both parties. The terms of any signed contract govern the scope of work, pricing, payment schedule, change orders, and warranty for that specific project and take precedence over these Terms with respect to that project.

7. Payments

Payments are due according to the schedule in your signed contract or invoice. Late payments may be subject to fees as described in the contract or as permitted by California law.

8. User Content

You retain ownership of photos, documents, notes, selections, and other content you upload to the Service. You grant us a limited license to use that content solely to operate the Service, manage your project, and communicate with you and authorized team members.

9. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to gain unauthorized access to any part of the Service
• Interfere with or disrupt the Service
• Upload malicious code or content that infringes the rights of others
• Use the Service to send unsolicited marketing or spam

10. Third-Party Services

The Service integrates with third-party services such as Twilio, QuickBooks, and Google. Your use of those services is subject to their own terms and privacy policies. We are not responsible for the availability or content of third-party services.

11. Disclaimers

The Service is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, to the fullest extent permitted by law. This section does not limit any warranty provided in your signed construction contract.

12. Limitation of Liability

To the maximum extent permitted by law, Sami & Sons Construction shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service. Our total liability for any claim arising out of the Service is limited to the amounts you paid us, if any, for use of the Service in the twelve (12) months preceding the claim. This section does not limit liability that cannot be limited under applicable law.

13. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason, with or without notice. You may stop using the Service at any time.

14. Governing Law

These Terms are governed by the laws of the State of California, without regard to its conflict of laws principles. Any disputes shall be resolved in the state or federal courts located in California.

15. Changes to These Terms

We may update these Terms from time to time. We will post the updated Terms on this page and update the "Last updated" date. Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms.
